Cautam un Consilier Juridic Senior (Drept Societar & Guvernanta Corporativa)

Alatura-te echipei noastre si contribuie la buna functionare a proceselor de guvernanta corporativa si la suportul juridic oferit organelor de conducere ale companiei.

Responsabilitati principale

  • Organizarea si participarea la sedintele Consiliului de Supraveghere, Directoratului si Adunarii Generale a Actionarilor (AGA); experienta in sistem dualist reprezinta un avantaj.
  • Pregatirea ordinii de zi si a documentatiei relevante pentru sedinte.
  • Redactarea si revizuirea documentelor oficiale (hotarari, procese-verbale, convocari etc.).
  • Gestionarea relatiei cu Registrul Comertului si cu alte autoritati.
  • Coordonarea fluxului de aprobare si obtinerea semnaturilor oficiale.
  • Monitorizarea implementarii deciziilor adoptate si arhivarea documentelor de guvernanta corporativa.
  • Asigurarea conformitatii cu legislatia si reglementarile aplicabile.

Profilul candidatului

  • Minimum 5 ani experienta relevanta in drept societar si guvernanta corporativa.
  • Studii superioare in drept.
  • Abilitati excelente de redactare si comunicare juridica.
  • Rigoare, atentie la detalii, integritate si confidentialitate.
  • Capacitatea de a gestiona relatii la nivel de board, actionari si autoritati.

Relationare si expunere

  • Colaborare directa cu membrii Consiliului de Supraveghere, Directoratul si actionarii.
  • Lucru in stransa legatura cu echipa de Legal si cu managementul executiv.
