Role Description

This full-time, on-site Senior Associate role in Bucharest leads complex corporate and M&A mandates end-to-end—due diligence, structuring, drafting and negotiating SPAs and APAs, shareholders' agreements and ancillary documents, closing and post-closing—advises on a broad range of commercial contracts (vendor, client, NDAs, and general commercial), delivers practical, business-oriented counsel to clients in regulated sectors (e.g., technology, life sciences/pharma, financial services, energy, real estate), serves as the day-to-day client lead managing timelines and workstreams, and ensures rigorous compliance with applicable laws, regulations, and internal quality standards, including proactive risk management and escalation where appropriate.

Responsibilities

  • Draft and review core corporate documents, including share/asset purchase agreements, shareholders' agreements, and ancillary transaction documents;
  • Support end-to-end M&A processes: due diligence, structuring, negotiation, and closing;
  • Draft, review, and negotiate a wide range of commercial contracts;
  • Provide tailored legal advice to clients in regulated sectors, aligning guidance with business objectives and risk appetite.

Qualifications

  • 3-7 years of experience in a reputable law firm;
  • Strong grounding in corporate and commercial law, with excellent drafting and negotiation skills;
  • Previous experience with sector-specific matters (e.g., technology, life sciences, financial services, energy, real estate, or other regulated industries) is highly desirable;
  • Ability to work independently and collaboratively in a fast-paced team environment;
  • Fluency in English required; proficiency in an additional European language at business level is an advantage.
