Job Summary
:
The successful candidate will join the GBS Corporate Entity Management Team, and under the supervision of the
Corporate Entity Team Manager
and the Western Hemisphere Corporate Entity Manager, will provide legal assistance and advice for corporate matters and operations, while also ensuring that SLB's legal entities are compliant from a corporate law standpoint, in line with SLB's policies, guidelines and procedures.
Essential Responsibilities and Duties
:
We are looking for a qualified Corporate Attorney, with previous experience in Corporate law matters, for a long - term career within our company.
Key responsibilities and duties include:
- Understand the SLB corporate structure rationale and ensure that it is followed;
- Provide corporate advisory support to the Business Lines and the GeoUnits, while ensuring compliance with local regulations, global policies, standards and best practices relating to Corporate matters;
- Oversee proper usage of CEM platforms and consistency in recording methods across the territory of responsibility;
- Keep Director and Officer appointments up to date for the SLB companies and branches across the territory of responsibility and ensure that the SLB legal entities constantly have an effective and compliant management structure;
- Ensure that local filing requirements are observed, in accordance with local regulations in the territory of responsibility;
- Draft corporate documents throughout the legal entities' lifecycle, including shareholder resolutions and board resolutions, as well as ancillary documentation, while ensuring their valid execution and registration;
- Manage databases of legal entities and relevant corporate information, ensuring that these are up to date;
- Manage the minute books of legal entities (both hard copy and electronic), keeping a complete and up-to-date record of corporate documentation;
- Provide legal support and advice for corporate restructuring projects, including mergers and acquisitions, entity registrations and de-registrations, share transfers, asset transfers, demergers and other corporate matters etc., in accordance with SLB policies and guidelines, as well as local regulations;
- Communicate and coordinate with the relevant functions and the outside counsels in order to ensure that the required corporate documents are filed appropriately with local authorities, while also keeping track of filing deadlines and requirements;
- Liaise with relevant functions and access key information resources to remain up to date on corporate information and statutory changes regarding companies and branches within the territory of responsibility;
- Communicate and coordinate with the Legal department internal stakeholders if business developments require action by the SLB legal entities from a corporate perspective.
The employee will also:
- Participate in Legal Department trainings and development initiatives and complete all assigned trainings;
- Become familiar with and use all Legal Department systems and tools and contribute to the legal knowledge management systems used by the company;
- Support constant implementation of workflows, processes, procedures, practices, guidelines, playbooks, and templates.
Experience and Key Competencies
:
- Bachelor Degree in Law ;
- Experience in Corporate Law (ideally minimum 2 years) is an advantage;
- Strong understanding of corporate law;
- Experience of working within an in-house legal team or in private practice, whilst preferred, is not essential;
- Excellent command of English, both written and spoken;
- Proficiency in another language (preferably French) is considered an advantage;
- Excellent command of Microsoft Office Packages;
- Ability to communicate effectively and to interact with peers and stakeholders;
- Ability to proactively organize workload and to demonstrate excellent analytical abilities;
- Excellent interpersonal skills, with the ability to relate comfortably at all levels within the organization and across borders;
- Adaptability, as well as a practical and creative approach to problem - solving;
- Acumen for detail, highly organized and systematic, with discretion in handling confidential information;
- Cultural sensitivity and ability to work within a Team;
- Good business sense and understanding of business requirements when performing work;
- Resourceful, disciplined and with initiative;
